The Swedish corporate bond market has undergone major changes in recent decades, and with these, questions about the design of the regulation and application problems have received increasing attention in the media, from authorities, and among politicians. In 2023, an extensive research project on these issues has been carried out at Stockholm University, within the SCGI and the Stockholm Centre for Commercial Law. The project has resulted in this book (title in Swedish: Regelfrågor på den svenska företagsobligationsmarknaden), in which 29 authors, a mix of researchers and practitioners, contribute their perspectives in 22 articles. The book combines academic and practitioner perspectives on the challenges facing the market and its participants, with the aim of contributing to the understanding of the functioning and importance of the market, and its continued strong development.
The book addresses issues such as the development and design of bond terms, changes in terms, collective decision-making by bondholders, buybacks and liability management, equal treatment of bondholders, issuer disclosure, prospectus issues, priority, transparency, the Riksbank’s behaviour in the market, the regulation of intermediaries, and the scope for self-regulation. In addition, experts from other Nordic countries present an overview of the regulation of corporate bond markets in Denmark, Finland and Norway.
