Swedish Corporate Governance Institute
Below, you will find the research published by the SCGI-team. As you may note, a substantial part of our research is published in Swedish (though much is published in both English and Swedish). The reasons for this are that national legal terminology translates poorly, and in addition, certain technical legal aspects are of limited interests to a non-Swedish audience. We also strongly believe in the importance of a robust and vibrant national legal doctrine, which is difficult to contribute to in other languages than the official one. However, should you be interested in taking part of our research published in Swedish in another language, please do not hesitate to contact us, and we would be happy to provide you with a translated version.

The third report within the Swedish Capital Market Review project has now been published – The Swedish Equity Market: Institutional Frameworks and Trends. The report provides a comprehensive empirical overview of the Swedish equity market landscape and presents an initial assessment of the elements that have shaped its development. This assessment, based on original data and in-depth interviews with market participants, is presented in Chapter 1 and identifies six underlying drivers

Stina Bratt has now completed her postdoctoral project, which was funded by Mannheimer Swartling in memory of the lawyer Sven Unger and organised by SCGI. The result is a book which is a valuable resource for both practitioners and researchers working with company law.

The book – Företagsobligationsmarknadsrätt – provides an introduction to the development, functioning and participants of the corporate bond market and, on this basis, addresses the regulation of the market. The rules covered include investor protection and equal treatment, prospectus and listing rules, bond issuers’ disclosure obligations under the EU Market Abuse Regulation, intermediary law issues, and issues of liquidity and price transparency.

In 2023, an extensive research project on these issues has been carried out at Stockholm University, within the SCGI and the Stockholm Centre for Commercial Law. The project has resulted in a book (title in Swedish: Regelfrågor på den svenska företagsobligationsmarknaden), in which 29 authors, a mix of researchers and practitioners, contribute their perspectives in 22 articles.

The SCGI and the OECD has published the first report within the Swedish Capital Market Review project, The Swedish Corporate Bond Market: Challenges and Policy Recommendations. The report provides an assessment of the Swedish corporate bond market and policy recommendations to improve its functioning, drawing from detailed empirical analysis and in-depth interviews with market participants.

The Institute’s Director Mats Isaksson has together with Daniel Blume from the OECD posted a brief overview of the recently released 2023 edition of the OECD Corporate Governance Factbook on the Harvard Law School Corporate Governance Forum blog. The, OECD Factbook contains more than 100 figures and tables that provide comparable information on corporate governance regulations and pracices across 49 jurisdictions and can be downloaded for free here.

Corporate governance and business have an important role to play in the green transition and sustainability. There are however serious risks tied to the enforcement of corporate governance standards that are not carefully crafted, such as parts of the COM:s proposal for a Corporate Sustainability Due Diligence Directive. There was a discussion on whether certain provisions, particularly the corporate governance related provisions (article 15.3, 25 and 26) would be counterproductive from a sustainability perspective, as well as damaging businesses and their access to capital. It is now agreed that these will be deleted, but whether there will be an agreement and what the final directive will look like remains uncertain.

Keynote address held by SCGI Director Mats Isaksson at the International Corporate Governance Network
Populist trends in corporate governance are undermining the quality of public policy, the legitimacy of democratic institutions and the functioning of our market economies. Rather than loading companies with unrealistic public responsibilities, we need to establish a fair and functional division of powers and responsibilities between politics and business. Business cannot be given the franchise to solve societal problems, such as increased inequality or environmental standards. And politicians should not be given an excuse to avoid tackling those same problems by referring to some vague concept of stakeholder capitalism.

During the last year, the SCGI, together with the OECD, has conducted a research project regarding the Swedish corporate bond market. On the SCGI:s side, the project is headed by director Erik Lidman. On October 14th, the first report from this project was launched at a seminar with Carmine Di Noia, Director, OECD Directorate for Financial and Enterprise Affairs, and Henrik Braconier, Chief Economist as speakers. The seminar was moderated by directors Rolf Skog and Professor Erik Lidman.

When shaping tomorrow’s corporate governance regulations, we should rely on two basic principles. First to encourage pluralism and flexibility between companies, countries and over time. Second, regulatory incentives should focus on facilitating the supply and use of equity capital.
